1) Acceptance of Terms
By purchasing, enrolling in, receiving, accessing, or using an APFL membership (either "APFL1000"
or " APFL250") (a " Membership"), you agree to these Membership Terms and Conditions
("Terms"). These Terms govern purchases and other interactions you may have with the
products and services related with the Membership.
2) Membership Tiers and Benefit Description
APFL offers multiple membership tiers, including APFL1000 and APFL250 (each, a "Tier"). The
specific benefits, inclusions, exclusions, eligibility requirements, and redemption instructions for
each Tier are described on the applicable membership offering page and/or official APFL
membership materials provided at the time of purchase (the "Benefit Description"). The Benefit
Description is incorporated into these Terms by reference and may be changed from time to
time by APFL without notice to you.
If there is a conflict between these Terms and the Benefit Description, these Terms control unless
the Benefit Description expressly states it overrides a specific provision.
3) Pricing; Taxes; Fees
Membership prices are as displayed at checkout. Prices may exclude applicable taxes, shipping
and handling, and payment processor or venue-related fees that may apply to ticket
transactions.
4) Limited Availability; Once Filled Policy
Membership quantities may be limited. APFL reserves the right to cap Membership quantities by
market or season and may close Membership enrollment at any time. If APFL states that a Tier is
limited and will not be offered again once filled, APFL may enforce such limits at its discretion.
APFL reserves the right to reject purchases for any reason, including if such purchases appear
fraudulent or otherwise violate these Terms.
5) Term of Membership
Unless otherwise stated in the Benefit Description or at checkout, the Membership term begins
on the purchase date and concludes upon the membership expiration designated by APFL for
that certain Tier. Certain benefits (such as priority access) provide an earlier opportunity to
purchase or claim and do not guarantee availability.
6) Not an Investment; No Equity; No Profit Share
Memberships are fan experience products and are not investment products. Memberships do
not represent equity, membership units, shares, ownership, or a security, nor do Memberships
grant rights to profits, dividends, or revenue share, and further provide no promise of any
financial return.
7) Eligibility; Identity Verification
You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase a
Membership. APFL may require verified contact information and may request government-
issued identification for credentialed access to certain benefits.
8) Credentialing, Entry, and Event Rules
Some benefits require credentialed entry, including without limitation scannable credentials,
lanyards, and/or VIP passes All event entry is subject to venue rules, security screening, capacity
limits, and safety protocols. APFL may deny entry or remove any person for prohibited conduct
or violation of venue rules.
9) Home Market and Scheduling
Certain benefits may be tied to a designated "home market" or specific market/team selection.
"Home market" is determined by APFL and is generally based on your selected team/market at
purchase or your primary address/region. Event dates, times, and locations may change.
10)Guest Policy
Where a benefit includes access for a guest, the guest must accompany the member and comply
with these Terms and all venue rules. Guest access may be subject to RSVP, capacity limits, and
eligibility restrictions for restricted-access environments (for example, media or behind-the-
scenes areas).
11)Tickets, Discounts, and Priority Access
If your Tier includes tickets, you agree that APFL and applicable venue partners determine the
seating location, ticket value, delivery method, and applicable dates associated with such tickets.
Discounts may apply only to base prices and may exclude taxes and fees. Discounts may not be
combined with other offers. Limits per transaction or per member may apply. Priority access
means earlier opportunity to purchase or claim and does not guarantee availability.
12)Booster Club Benefits
If your Tier includes Booster Club membership and/or parties, such events may require RSVP,
have capacity limits, and be scheduled, rescheduled, substituted, or replaced with comparable
experiences at APFL’s sole discretion.
13)Merchandise, Collectibles, and Shipping
If your Tier includes merchandise or access to limited-edition items, fulfillment timelines may
vary due to production and logistics. Limited-edition items are subject to availability, and priority
access does not guarantee inventory. You are responsible for providing a valid shipping address.
Returned shipments may incur reship fees.
14)Changes, Substitutions, and Force Majeure
APFL may adjust schedules, locations, and benefit fulfillment methods. If a specific experience
becomes unavailable due to circumstances outside of APFL’s reasonable control, including
without limitation talent cancellation, venue restrictions, safety issues, weather, earthquakes,
pandemics, or other acts of gods outside of APFL’s reasonable control (“Force Majeure Events”),
APFL may provide a comparable substitute experience or item, or a credit toward a future APFL
event or benefit, as determined in APFL’s sole discretion. Force Majeure Events may affect the
timing of the delivery of benefits.
15)Non-Transferability; No Resale
Unless explicitly stated otherwise in the Benefit Description, Memberships and related benefits
are non-transferable and for the purchaser/member’s personal use. Resale of Memberships,
credentials, codes, discounts, or member-only access associated with such Memberships is
strictly prohibited. Suspected fraud or unauthorized resale may result in cancellation of
Membership and associated benefits without refund.
16)Refunds and Chargebacks
All sales are final unless required by law or explicitly stated at checkout. Any cancellation or
refund window will be stated in the Benefit Description. Initiating a chargeback without first
contacting support may result in suspension of benefits pending review.
17)Member Conduct
You agree to behave safely and respectfully at APFL events and online. Prohibited conduct
includes harassment, discrimination, threats, violence, illegal activity, and disruption of events.
APFL may suspend or revoke Membership benefits for violations of these Terms or venue rules.
18)Photo/Video Release
By attending APFL events or participating in Membership experiences, you consent to being
photographed or recorded and grant APFL permission to use your likeness, voice, and
appearance in any media worldwide for lawful promotional and commercial purposes, without
compensation, to the extent permitted by law.
19)Indemnification
You hereby indemnify, defend and hold harmless APFL and all officers, directors, owners, agents,
information providers, affiliates, licensors and licensees (collectively, the “Indemnified Parties”)
from and against any and all liability and costs, including, without limitation, reasonable
attorneys' fees, incurred by the Indemnified Parties in connection with any claim arising out of:
(a) any breach by you or any user of your account of these Terms or the foregoing
representations, warranties and covenants; or (b) your gross negligence or willful misconduct.
You must cooperate as fully as reasonably required in the defense of any such claim. APFL
reserves the right, at its own expense, to assume the exclusive defense and control of any matter
subject to indemnification by you.
20)Assumption of Risk
Attendance at sporting and live entertainment events involves inherent risks, including without
limitation risks related to crowds, loud noise, weather, and accidental contact. You voluntarily
assume all such risks for yourself and such risks to any minors in your care.
21)Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, THE MEMBERSHIP AND ALL
BENEFITS ARE DISTRIBUTED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER
EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED
WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. APFL DOES NOT
WARRANT THAT THE MEMBERSHIP OR BENEFITS WILL BE UNINTERRUPTED OR ERROR-FREE.
THERE MAY BE DELAYS, OMISSIONS, INTERRUPTIONS, AND INACCURACIES IN MEMBERSHIP OR
OTHER BENEFITS MADE AVAILABLE THROUGH THE MEMBERSHIP. WE WILL HAVE NO LIABILITY
FOR INVESTMENT DECISIONS BASED UPON, OR THE RESULTS OBTAINED FROM, THE CONTENT
PROVIDED IN THE SITE, THE CONTENT, OR THE SERVICES. YOU HEREBY ACKNOWLEDGE THAT THE
USE OF THE MEMBERSHIP AND BENEFITS ARE AT YOUR SOLE RISK.
22)Limitation of Liability
IN NO EVENT WILL APFL, ITS AFFILIATES AND THEIR RESPECTIVE SHAREHOLDERS, DIRECTORS,
OFFICERS, EMPLOYEES, ADVERTISERS, SUPPLIERS, CONTENT PROVIDERS AND LICENSORS (THE
“APFL PARTIES”) BE LIABLE (JOINTLY OR SEVERALLY) TO YOU OR ANY OTHER PERSON AS A RESULT
OF YOUR ACCESS OR USE OF THE MEMBERSHIP AND RELATED BENEFITS FOR INDIRECT,
CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING,
WITHOUT LIMITATION, LOST PROFITS, LOST SAVINGS, OR LOST GOODWILL (COLLECTIVELY, THE
“EXCLUDED DAMAGES”). THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED
ON NEGLIGENCE, TORT, CONTRACT, OR OTHER THEORY OF LIABILITY, EVEN IF ANY OF THE APFL
PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF OR COULD HAVE FORESEEN ANY OF THE
EXCLUDED DAMAGES, AND IRRESPECTIVE OF ANY FAILURE OF AN ESSENTIAL PURPOSE OF A
LIMITED REMEDY. IF ANY APPLICABLE AUTHORITY HOLDS ANY PORTION OF THIS SECTION TO BE
UNENFORCEABLE, THEN THE APFL PARTIES' LIABILITY WILL BE LIMITED TO THE FULLEST POSSIBLE
EXTENT PERMITTED BY APPLICABLE LAW. APFL’S TOTAL LIABILITY ARISING OUT OF OR RELATED
TO A MEMBERSHIP WILL NOT EXCEED THE AMOUNT YOU PAID FOR THAT MEMBERSHIP DURING
THE APPLICABLE TERM.
23)Privacy
APFL’s collection and use of personal information is governed by our Privacy Policy available at
[insert link]. You are responsible for keeping your contact and shipping information current.
24)Dispute Resolution; Governing Law
These Terms are governed by the laws of South Carolina, without regard to conflict-of-law
principles. Venue for any permitted court action shall be Charleston County, SC, unless applicable
law requires otherwise.
25)Updates to Terms; Entire Agreement
APFL may update these Terms from time to time by posting an updated version with a new Last
updated date. Such updated Terms shall be applicable upon posting and without further notice
to you. Continued use of Membership benefits after updates constitutes acceptance under these
Terms. These Terms, together with the Benefit Description and any posted policies referenced
herein, constitute the entire agreement regarding the Membership.
26)Additional Terms in Certain Jurisdictions
All parts of these Terms apply to the maximum extent permitted by applicable law. However, you
may have greater rights in your jurisdiction of residence. If, in any jurisdiction, any provision of
these Terms or their application to any party or circumstance is restricted, prohibited, or
unenforceable, that provision will, as to that jurisdiction, be ineffective only to the extent of the
restriction, prohibition, or unenforceability without invalidating the remaining provisions of
these Terms and without affecting the validity or enforceability of such provision in any other
jurisdiction or affecting its application to other parties or circumstance.
